Terms and Conditions of Membership for Cigars with Benefits, LLC (“Cigars with Benefits Society” or “Society”)

 

1. Introduction

  -Welcome to Cigars with Benefits Society, a private Society. These Terms and Conditions govern your membership and participation in the society.

 

2. Eligibility

  -Membership is open to individuals who meet the criteria set out by the society and who agree to continuously adhere to these Terms and Conditions.

 

3. Membership Fee

  - The annual membership fee is: nonrefundable, subject to change from year to year, covers a twelve months period (no events are planned to be held in the months of July and August), and is payable in advance.

 

4. Membership Benefits

  -Members are entitled to benefits listed on www.cigarswithbenefits.org (Website) for the level of the membership paid for by an individual, subject to the rules and regulations of the society. Membership benefits are subject to change and any changes shall be reflected on the Website. Members who are not willing to accept the changes to their membership have thirty days from the date of the posting of the changed Membership Benefits on the Website to notify the board of directors of their unwillingness to accept the new Membership Benefits and will be eligible to cancel their membership and receive a prorata refund of the prepaid membership fees, calculated based on the remaining duration of the membership period.

 

5. Code of Conduct

Members must adhere to the society's code of conduct, including that articulated at a particular event by a board member, which promotes respect, integrity, and professionalism to all Members and guests. Key aspects include:

Respect: Members must treat others with dignity, fairness, and courtesy. Discrimination or harassment of any kind is strictly prohibited.

Integrity: Members are expected to act ethically, honestly, and with integrity in all dealings.

Professionalism: Members should contribute positively to the society’s mission and avoid any conduct that could damage the society’s reputation.

Compliance: Members must comply with all applicable laws and regulations.

Conflict Resolution: Members should resolve disagreements constructively and avoid public disputes.

Reporting: Any breaches of this code must be reported to the society’s board of directors.

 

6. Privacy Policy

  -Personal information collected from members will be handled in accordance with the society's privacy policy.

 

7. Limitation of Liability

  - The Society shall not be liable for any losses, injuries, or any direct, indirect, incidental, consequential, or any other damages arising out of or connected in any way with the member's participation in the society's activities, use of the society's facilities, or association with the society. This limitation of liability applies to all claims, regardless of whether they are based in contract, tort (including negligence), strict liability, or otherwise. Members participate in all society activities and use society facilities at their own risk.

 

8. Intellectual Property and Media Consent

  - By participating in the Society’s events and activities, members grant the society permission to capture and use their image, likeness, and voice in photographs, videos, and other digital media (“Media”) taken during such events and activities. Members hereby assign to the society all rights, title, and interest they may have in any Media, including but not limited to any royalties, proceeds, or other benefits derived from such Media.

  - The society reserves the right to use any such Media in its communications, marketing, advertising, and any other lawful purposes. This includes the use of Media on the society's website, in publications, promotional materials, and other forms of media, both digital and print.

  -Members acknowledge that they will not receive any financial compensation or royalty for the use of their image or likeness and hereby release [Society Name] from any claims related to the use of the Media.

 

9. Dress Code Policy

  -Members of the Society are required to adhere to a professional dress code when attending society events. This dress code is designed to maintain a standard of professionalism and respect within the society.

 

  - The acceptable forms of attire include:

    -Professional Attire: Traditional business wear such as suits, dress shirts, blouses, tailored trousers, skirts, and appropriate footwear.

    -Business Casual: A more relaxed yet polished attire, including collared shirts, smart blouses, dress pants, skirts, and closed-toe shoes.

    -Formal Cocktail Attire: Elegant clothing suitable for a formal social gathering, such as cocktail dresses, evening gowns, dress suits, and dress shoes.

 

  -Members are expected to choose attire appropriate to the nature of each event, as specified in the event’s description or invitation.

  -Failure to comply with this dress code policy may result in denial of entry to the event or other actions as deemed appropriate by the society’s governing body.

 

10. Termination of Membership

  - As a private society, the Society reserves the right to cancel or revoke membership at any time for any reason. In such cases, members will be entitled to a refund of a prorated portion of their prepaid annual membership fee, calculated based on the remaining duration of the membership period.

 

11. Amendments to Terms and Conditions

  - The society reserves the right to amend these Terms and Conditions at any time, effective immediately. Members will be notified of any changes through the posting of the updated terms and conditions on the Website.

 

12. Entire Agreement

  -This document, including all its provisions and any other documents referred to herein, constitutes the entire agreement between the  and the member regarding membership in the society. The member acknowledges that, in agreeing to become a member of the society, they have not relied on any representation, promise, assurance, statement, or warranty, whether written or oral, made by the society or any of its agents, employees, or representatives, other than as expressly set out in these Terms and Conditions.

  - By accepting these Terms and Conditions, the member confirms that they understand and agree that no other promises or representations, either written or verbal, have been made by the society to persuade the member to pay for the membership.

  - Any amendments or modifications to this agreement must be made in writing and signed by both the society and the member to be valid.

 

13. Non-Disparagement

  -Members agree not to make any written or oral statements that negatively impact the Society, its officers, directors, employees, agents, or other members, or that disparage the society’s reputation, practices, or conduct. This prohibition includes, but is not limited to, statements made in any public forum, social media platform, or to any third party, including the press.

  - The member understands that this non-disparagement clause does not prohibit them from making truthful statements that are required by applicable law,regulation, or legal process.

  -Breach of this non-disparagement clause may result in immediate termination of membership and may give rise to further legal action by the Society.

  -This clause shall survive the termination of the membership and shall remain in effect indefinitely.

 

14. Dispute Resolution

  - In the event of any dispute, claim, question, or disagreement arising from or related to the Terms and Conditions of membership or any other aspect of the relationship between a member and Society ("Dispute"), the parties shall use their best efforts to settle the Dispute. To this effect, they shall consult and negotiate with each other, in good faith, and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

 

  - If the parties do not reach such a solution within a period of 30 days, then, upon notice by either party to the other, the Dispute shall be finally settled by binding arbitration administered by an entity to be selected by the Society, under such arbitration entity's rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

 

  - The arbitration shall be conducted in the state of Florida and in accordance with the laws of the state or Florida. The costs of arbitration, including administrative and arbitrators' fees, shall be shared equally by the parties unless the arbitration award provides otherwise. Each party shall bear its own costs and attorneys' fees related to the arbitration proceedings.

 

  - The members agree that resolving Disputes through arbitration results in a quicker, more cost-effective, and confidential process. Members understand that they waive their rights to a jury trial and to participate in class actions or class arbitrations.

 

  -This dispute resolution provision shall be governed by the Federal Arbitration Act and not by any state law concerning arbitration.

 

15. Governing Law

   -These Terms and Conditions are governed by the laws of Florida State in the United States of America.

 

16. Acceptance of Terms

   - By paying the membership fee, members agree to be bound by these Terms and Conditions, including the Code of Conduct.
